1. Acceptance of Terms

By accessing or using AccreditedNow.org (the "Site") or any services offered by AccreditedNow LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms you must not use our Site or services. Your continued use of the Site after any modifications to these Terms constitutes your acceptance of the revised Terms.

2. Description of Services

AccreditedNow LLC provides the following services:

Free Self-Assessment Service

A free educational quiz that allows users to self-assess whether they may qualify as an accredited investor under SEC criteria. Upon completion users may receive a printable decorative certificate.

CPA Verification Service

A paid service (starting at $99 per verification) where an independent licensed CPA review user-submitted financial documents and issue a certification letter confirming accredited investor status. This service is fulfilled by an independent licensed CPA and not directly by AccreditedNow LLC.

Professional Verification Plans

Volume verification packages for financial professionals, investment sponsors, and broker-dealers who need to verify multiple investors. Pricing varies by volume as displayed on the Site.

Optional Partner Introductions

If you opt in, AccreditedNow LLC may share or sell certain contact and investment-profile information (your name, email, phone, state, net worth range, and investment interests) with vetted third-party investment sponsors and financial service providers, as described in our Privacy Policy. This is entirely optional — if you do not check the optional consent box, we do not share or sell your information. The financial documents you submit for CPA verification are never shared or sold under any circumstances.

3. Eligibility

To use AccreditedNow.org you must:

• Be at least 18 years of age
• Be a resident of the United States
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using our services under applicable law
• Provide accurate and truthful information when using our services

By using our Site you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements you must not use our services.

4. Free Self-Assessment and Certificate

You expressly acknowledge and agree that:

• The quiz results are based solely on your self-reported answers and have not been verified by any licensed professional
• The printable certificate is a decorative novelty item only and confers no legal rights, protections, or official status
• The certificate is not accepted by Regulation D investment sponsors as proof of accredited investor status
• AccreditedNow LLC makes no representations or warranties regarding the accuracy of the self-assessment results
• You should not make any investment decisions based solely on your self-assessment result
• For legally recognized verification you must obtain a letter from a licensed CPA, attorney, or registered investment advisor

5. CPA Verification Service

Service Description

Our CPA verification service connects you with an independent licensed CPA who review your financial documents and issue a verification letter. AccreditedNow LLC acts as an intermediary and is not itself a law firm, CPA firm, or registered investment advisor.

Document Submission

By submitting financial documents for CPA verification you represent that:

• All documents submitted are authentic, accurate, and unaltered
• You are the person identified in the documents or are authorized to submit them
• Submission of false or fraudulent documents may constitute fraud and may be reported to appropriate authorities

Turnaround Time

Standard turnaround is 2–3 business days from receipt of complete documentation and payment. Standard turnaround times are estimates and not guaranteed.

Same-Day / Rush Delivery (Optional Add-On)

If you purchase the optional Same-Day / Rush Delivery add-on, we guarantee your verification letter will be issued within 6 business hours (for individual verifications) or 12 business hours (for entity, trust, and other non-individual verifications, which require additional review) after we have received your complete and legible documentation (including a government-issued photo ID and sufficient qualification documents) and cleared payment. "Business hours" means 9:00 a.m. to 5:00 p.m. Eastern Time, Monday through Friday, excluding U.S. federal holidays. The applicable clock begins only once your submission is complete; requests for additional documents or clarification pause the clock until you respond. If we fail to issue your letter within this window for reasons within our control, the rush add-on fee will be refunded to you. The guarantee applies to the rush add-on fee only and does not affect the underlying verification fee, which remains subject to our standard refund policy. The rush guarantee does not apply where a case is declined, where documentation is incomplete, illegible, or requires follow-up, or where delay results from circumstances beyond our reasonable control.

Letter Validity

CPA verification letters issued through our service are valid for 90 days from the date of issue in accordance with SEC safe harbor rules for Regulation D Rule 506(c) offerings. AccreditedNow LLC makes no guarantees that any specific investment sponsor will accept our verification letters.

Independent Professionals

CPA verification services are fulfilled by an independent licensed CPA. AccreditedNow LLC is not responsible for the professional judgment, conduct, or errors of these independent professionals. Any disputes regarding the quality of professional services should be directed to the applicable state professional licensing board.

Optional Investor Onboarding — Identity, Screening, Monitoring, and Business Verification

Some verifications include optional investor-onboarding checks in addition to the CPA verification described above: an automated identity check, a sanctions and politically-exposed-person (PEP) watchlist screening, optional ongoing monitoring, and, for entities, a business-verification (KYB) check. Identity screening is available at no charge to individual customers; the other checks are offered through participating investment sponsors or as paid add-ons. Each runs only when it is part of your case.

Identity check. By completing the identity check you consent to the collection and processing of your government-issued photo ID and a facial image (selfie), including biometric facial-geometry data, by our identity-verification provider for the sole purpose of confirming your identity, as described in our Privacy Policy (including the biometric-information terms that apply in Illinois, Texas, and Washington). Consent is obtained before the check begins; if you prefer not to complete the automated check, you may upload a photo of your government-issued ID for manual CPA review instead.

Screening and ongoing monitoring. The watchlist screening checks your name and date of birth against sanctions and PEP databases. Where a sponsor enrolls it, screening may be extended into ongoing monitoring that re-screens you against watchlist changes on a recurring basis for a limited term (by default up to five years) unless renewed. Ongoing monitoring applies only to sponsor-enrolled cases.

Business verification (KYB). For entity verifications with the KYB add-on, we verify the entity in official government business registries, screen the entity against sanctions/PEP lists, and review the ownership documents you provide to identify beneficial owners. KYB is a paid add-on for entity cases (and is included at no extra charge with the $5M asset-test plan); any applicable fee is shown before you pay. You are responsible for providing accurate entity information and genuine, unaltered ownership documents.

All of these checks are informational and are not investment, legal, tax, or compliance advice. A completed identity check, a screening or monitoring result of "no matches," or a completed business verification is not a representation that you are an accredited investor, is not a guarantee that any investment sponsor will accept you or your verification, and does not create any obligation on AccreditedNow LLC or any sponsor to proceed with an investment. The checks are performed against third-party and government data sources that may be incomplete or out of date; a "no matches" or "verified" result reflects the data available at the time of the check and is not a warranty that no match or issue exists. Where these checks apply, their results (and, for KYB, the entity ownership documents reviewed) are retained as compliance records as described in our Privacy Policy, rather than deleted with your financial documents.

6. Payments and Refunds

Payment Processing

All payments are processed securely by Stripe Inc. AccreditedNow LLC does not store credit card information. By making a payment you agree to Stripe's Terms of Service and Privacy Policy.

Pricing

Prices are displayed in US dollars and are subject to change without notice. The price at the time of purchase is the price you pay.

Additional Fees for Complex Cases

The standard fee covers a standard verification. Where a case requires substantially more review than a standard verification — for example, a net-worth qualification that requires documenting and reconciling assets and liabilities across many accounts, or a case more appropriately handled as an entity verification — an additional fee may apply. Any additional fee is quoted to you in advance and charged only after you approve it. Your original payment is credited in full toward the correct amount, your documents carry over with nothing to re-upload, and no additional work is performed until you approve the additional fee.

Refund Policy

AccreditedNow charges for a CPA's review of your documents, not for a particular outcome.

• Full refund (before review begins): If you request a refund before our CPA has begun reviewing your file, we refund 100% of what you paid, including any rush fee. No explanation needed.
• Our error: If we cannot complete your verification for reasons within our control — such as a processing error on our side or our inability to assign a reviewer — you receive a full refund regardless of stage.
• Once review has begun: After our CPA has begun reviewing your file, the fee is non-refundable as cash. If the review does not result in a verification letter — whether because you do not currently meet the criteria, because your status cannot be verified on the evidence provided, or because the file cannot be completed — your payment converts to an account credit valid for one year toward a future verification.
• If your documents fall short: Your file stays open for 60 days from purchase. You may upload replacement or additional documents as many times as needed during that window at no additional charge. If no verification letter has been issued by the end of that window, the file closes and your payment converts to a one-year account credit as described above.
• Inactive orders: If we receive no documents within 60 days of purchase, your order closes and your payment converts to a one-year account credit toward a future verification. Because no review has taken place, you may instead request a full cash refund at any time before the order closes.
• Account credits: Credits are valid for one year from the date they are issued and may be applied to any future verification. Credits are not redeemable for cash.
• Rush service: If we miss the rush turnaround for reasons within our control, we refund the rush fee automatically. Delays caused by incomplete or late document submission are not eligible.

7. Data Collection and Marketing Consent

By submitting the self-assessment or verification form you consent to:

• Collection of your personal information as described in our Privacy Policy
• Being added to our email list and receiving our welcome sequence and transactional messages (such as payment and verification updates)

Only if you check the optional partner-opportunities box, you additionally consent to:

• AccreditedNow LLC sharing or selling your name, email, phone, state, net worth range, and investment interests to vetted third-party investment sponsors, fund managers, and financial service providers
• Being contacted by those partners by email, phone, or text message regarding investment opportunities

If you leave the optional box unchecked, we never share or sell your information with any third party. You may opt out of marketing communications at any time by emailing optout@accreditednow.org. See our Privacy Policy for full details on your rights and choices.

8. User Conduct and Prohibited Activities

You agree not to:

• Submit false, inaccurate, or fraudulent information on any form or quiz
• Submit financial documents belonging to another person without their written authorization
• Use our services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to our systems, databases, or user accounts
• Use automated tools, bots, or scrapers to access or collect data from our Site
• Interfere with or disrupt the operation of our Site or servers
• Reproduce, distribute, or commercially exploit any content from our Site without written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use our services to facilitate any securities fraud or investment scam

Violation of these prohibitions may result in termination of your access to our services and may be reported to appropriate law enforcement or regulatory authorities.

9. Intellectual Property

All content on AccreditedNow.org including text, graphics, logos, images, the self-assessment quiz, certificate designs, and software is the property of AccreditedNow LLC and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works of any Site content without our prior written consent.

The AccreditedNow name, logo, and branding are trademarks of AccreditedNow LLC. You may not use our trademarks without prior written permission.

10. Disclaimers and Limitations of Liability

No Legal or Financial Advice

AccreditedNow LLC is not a law firm, CPA firm, or registered investment advisor. Nothing on this Site constitutes legal advice, financial advice, tax advice, or investment advice. You should consult qualified professionals for advice specific to your situation.

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ACCREDITEDNOW LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCREDITEDNOW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Investment Risk Disclaimer

Accredited investor status does not guarantee the suitability of any investment. Private market investments involve significant risks including loss of principal, illiquidity, and lack of regulatory protection. AccreditedNow LLC is not responsible for any investment decisions made based on information obtained through our Site.

11. Indemnification

You agree to indemnify, defend, and hold harmless AccreditedNow LLC and its members, managers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or inability to use our services
• Your violation of these Terms
• Your submission of false, fraudulent, or inaccurate information
• Your violation of any applicable laws or regulations
• Any third-party claims arising from your conduct on our Site

12. Dispute Resolution

Informal Resolution

Before filing any formal dispute you agree to contact us at info@accreditednow.org and attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days.

Binding Arbitration

If informal resolution fails any dispute arising from these Terms or your use of our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Indiana. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims court actions within applicable jurisdictional limits are also permitted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana without regard to its conflict of law provisions. To the extent court proceedings are permitted under these Terms you consent to the exclusive jurisdiction of the state and federal courts located in Hamilton County, Indiana.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to our subscriber list
• Post a notice on our website for 30 days

Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms you must stop using our services.
